Terms of Service

1. Acceptance of these terms

By creating an account, posting content, or otherwise using Update — the website, mobile app, organization portal, or any organization's reader page — you agree to these Terms of Service, our Privacy Policy, and our Acceptable Use Policy. If you don't agree, don't use the service.

2. Who can use Update

You must be old enough to form a binding agreement in your jurisdiction, or have a parent/guardian's permission where the law allows that. If you're creating an organization account on behalf of a company or group, you're confirming you have the authority to bind that organization to these terms.

3. Accounts

There are two kinds of accounts on Update:

• Organization accounts — created by staff who run events and moderate their organization's content. Responsible for keeping login credentials and API keys confidential, and for everything done under that account.
• Reader/contributor accounts — created (or used channel-only, without a full account) by people who send in or engage with updates. You can contribute via WhatsApp, Telegram, or email with just that channel identity; a full account (sign-in via email code or Google/Facebook) unlocks following, associating, messaging, and a public profile.

You're responsible for the accuracy of the information you provide and for keeping it up to date.

4. Your content, and what you let us do with it

You own what you post. Submitting an update, photo, video, reply, or message doesn't transfer ownership to us or to the organization you posted it to.

What you do grant us — and, for content posted into a specific event, the organization hosting it — is a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute that content as part of operating the service (showing it on the event's reader page, in the app, in aggregated "top moments," etc.), for as long as it remains published. This license ends when you delete the content or your account, except for copies already reasonably necessary for backups, logs, or legal compliance.

You're responsible for having the rights to everything you post — don't submit content you don't have permission to share.

5. Acceptable use

Full detail is in our Acceptable Use Policy, which is part of these terms. In short: be honest, be respectful, don't harm or exploit anyone, and don't abuse the platform's infrastructure.

6. Organizations' moderation control

Each organization controls what gets published on its own event pages — what's approved, rejected, or later removed. We may also remove content or restrict accounts platform-wide for violations of the Acceptable Use Policy, independent of any individual organization's own moderation decisions.

7. Third-party channels

Sending an update via WhatsApp, Telegram, or signing in via Google/Facebook also puts you under that provider's own terms of service — we don't control those platforms and aren't responsible for their availability, changes, or policies.

8. Our intellectual property

The Update name, logo, software, and platform design are our property (or licensed to us) and aren't covered by the content license in §4. You may not copy, modify, or reverse-engineer the platform itself except as our public API and developer documentation expressly permit.

9. Disclaimers

The service is provided "as is," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee the accuracy of user-submitted content — updates reflect what contributors and organizations chose to post, not a claim by us that it's true.

10. Limitation of liability

The service is provided on an "as is" and "as available" basis, without warranty of any kind. To the maximum extent permitted by law, Ham Events & Media Ltd, its officers, employees, and agents bear no liability whatsoever — direct, indirect, incidental, special, consequential, exemplary, or punitive — arising from or relating to your use of the service, including without limitation any loss of data, revenue, profit, goodwill, or business opportunity, any content posted by any user, any third-party channel (WhatsApp, Telegram, email, or otherwise) through which content is sent, or any interruption, error, or unavailability of the service, even if we have been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

This exclusion applies to the fullest extent the law allows. It does not apply where, and only to the extent that, applicable law makes a liability exclusion unenforceable — for example, liability for death or personal injury caused by negligence, or for fraud or willful misconduct, cannot be excluded under Nigerian law or most other legal systems, and nothing in this section is intended to attempt to exclude it.

11. Indemnification

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your content, your violation of these terms, or your violation of any law or third-party right.

12. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your account for violating these terms, the Acceptable Use Policy, or applicable law, with or without notice depending on severity — see the enforcement section of the Acceptable Use Policy.

13. Governing law

These terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these terms or your use of the service is subject to the exclusive jurisdiction of the courts of Nigeria.

14. Changes

We may update these terms from time to time. We'll update the "last updated" date, and where a change is material, we'll make a reasonable effort to notify active users (in-app notice or email). Continuing to use the service after a change takes effect means you accept the updated terms.
